1. Parties and Acceptance
These Payment Services Terms (the "Payment Terms") govern access to and use of payment-related services provided within the Polar Tensor™ group and are entered into between:
- Polar MSB Inc. (the "Payment Provider", "we", "us", or "our"); and
- the individual or legal entity accepting these Payment Terms (the "Client" or "you").
By accessing or using any payment functionality, you confirm that you have read, understood, and agreed to be bound by these Payment Terms and all incorporated disclosures and policies.
2. Scope and Regulatory Positioning
2.1 Services Covered
These Payment Terms govern the provision of:
- fiat payment processing and settlement;
- fiat-to-crypto and crypto-to-fiat exchange;
- crypto-to-crypto exchange; and
- payment card services provided via licensed third-party partners.
2.2 Regulatory Characterisation
The Payment Provider operates as a Money Services Business (MSB) and provides payment and exchange services only.
These Payment Terms do not cover and do not create:
- custody of execution-layer trading balances;
- discretionary trading or asset management;
- investment advice; or
- securities, derivatives, margin, or leveraged products.
3. Relationship with Other Group Entities
Payment services may be used in conjunction with services provided by:
- Polar Tensor™ US LLC – custody and client account services for U.S. and non-EU clients; and
- Polar Tensor™ Europe SP ZOO – custody and client account services for EU clients.
The Payment Provider does not control client onboarding decisions, custody arrangements, or execution technology.
4. Eligibility and Access
You may access payment services only if:
- you have been validly onboarded by the applicable custodial entity;
- you meet all eligibility requirements in your jurisdiction; and
- your access has not been restricted for compliance, security, or legal reasons.
The Payment Provider may refuse or restrict transactions where required by law or regulation.
5. Fiat On- and Off-Ramp Services
5.1 Processing
Fiat deposits and withdrawals are processed through regulated banking and payment partners.
5.2 Timing
Processing times depend on:
- banking networks;
- payment rails;
- cut-off times; and
- third-party processing schedules.
No guarantee is provided as to settlement speed.
6. Exchange Services
6.1 Exchange Functionality
Exchange services allow conversion between:
- fiat currencies and crypto-assets; and
- supported crypto-assets.
6.2 Rates and Pricing
Exchange rates may include:
- spreads;
- third-party fees; and
- network or liquidity costs.
Rates are indicative at the time of execution and may change rapidly.
7. Payment Cards (Where Applicable)
Payment card services are provided through licensed third-party card issuers and programme managers.
The Payment Provider:
- does not issue cards directly; and
- does not control card network rules.
Use of card services is subject to:
- separate cardholder terms; and
- the policies of card networks and issuing partners.
8. Fees and Charges
Applicable fees may include:
- payment processing fees;
- exchange spreads or commissions;
- card-related fees imposed by third parties.
All fees are disclosed prior to application where required by law.
Third-party fees are outside the control of the Payment Provider.
9. Compliance, Monitoring & Restrictions
The Payment Provider is required to comply with AML/CFT, sanctions, and fraud-prevention obligations.
Accordingly, transactions may be:
- monitored;
- delayed;
- limited; or
- rejected
where required by law, regulation, or internal compliance policies.
10. No Custody of Execution-Layer Assets
The Payment Provider:
- does not hold execution-layer trading balances;
- does not control automated trading functionality; and
- does not exercise discretion over client trading activity.
11. Client Responsibilities
You are responsible for:
- ensuring the accuracy of payment instructions;
- complying with applicable laws, including tax obligations; and
- promptly reporting unauthorised or suspicious transactions.
12. Limitation of Liability
To the maximum extent permitted by law:
- no liability is accepted for delays or failures caused by third-party banks, payment networks, or card issuers;
- no liability is accepted for market movements affecting exchange rates; and
- liability is limited to direct losses arising from proven breach.
Nothing excludes liability that cannot be excluded under applicable law.
13. Suspension and Termination
Access to payment services may be suspended or terminated:
- to comply with legal or regulatory obligations;
- for security or fraud-prevention reasons; or
- upon termination of the underlying client relationship.
14. Governing Law
These Payment Terms are governed by the laws of the State of Montana, United States, without prejudice to mandatory consumer-protection laws.
15. Amendments
These Payment Terms may be updated from time to time.
Continued use of payment services constitutes acceptance of the most current version.
